Metaplanet plans to issue 52000000000 zero-coupon yen-denominated convertible bonds, with part of the proceeds to be used to repay credit facilities and release pledged Bitcoin

BlockBeats reports that October 14,Metaplanet CEO Simon Gerovich stated that the company will issue a total of 52000000000 yen in zero-coupon yen-denominated convertible bonds maturing in 2031 years, while simultaneously advancing a share repurchase plan.

Of the proceeds from the issuance, up to 28300000000 yen will be used to repurchase the company's shares, of which up to 25300000000 yen will be executed through over-the-counter block trades, involving up to 96,934,800 shares, approximately 7.1%of the issued shares; the remainder will be completed through market purchases.

In addition, the company will use approximately 23600000000 yen to partially repay its credit facilities, thereby releasing the Bitcoin currently held as collateral. Gerovich stated that Metaplanet's share price is currently below the value of its Bitcoin holdings, and that the repurchase is intended to create value for shareholders by taking advantage of the discount; the bonds' initial conversion price is higher than the share price at issuance and 1.0 times mNAV.

Although the issuance will increase the company's total debt, the company hopes to replace some secured, interest-bearing borrowings with unsecured debt without scheduled interest payments, thereby reducing interest costs, extending the debt maturity, and enhancing financial flexibility for subsequent Bitcoin acquisitions.
