Grayscale:SEC Innovation exemption to drive tokenized equities into the regulated U.S. financial system
According to BlockBeats,September 24, Grayscale Head of Research Zach Pandl stated that the U.S.SEC recently issued “innovation exemption” order aims to bring on-chain trading of tokenized equities into the regulated U.S. financial system, shifting the market away from its current model dominated by offshore derivative-style “wrapped assets” toward tokenized securities that provide holders with full voting rights and dividend entitlements.
The order temporarily relaxes registration requirements: eligible trading venues need not register as securities trading platforms, and eligible liquidity providers need not register as securities dealers. This means that authorized wallet addresses can trade tokenized equities through restricted-access Uniswap liquidity pools.
However, the exemption is subject to multiple conditions. Relevant transactions must take place on public blockchains, participants must be authorized, and trading venues must publicly disclose information before commencing operations. Rules concerning fraud, market manipulation, anti-money laundering, counter-terrorist financing, and OFAC sanctions screening remain applicable. In addition, the order is valid for 5 years and imposes caps on the number of securities that may be listed and trading volume.
U.S.SEC Chairman Paul Atkins described the order as a “temporary measure” and stated that long-term regulatory rules must still be developed. Grayscale believes the exemption will support the continued development of the tokenized equities market and demonstrate that blockchain trading infrastructure can accommodate both compliance requirements and investor protection; if the pilot succeeds, the regulatory scope may be further expanded and prompt the U.S. Congress to introduce related bipartisan legislation.
